In short: Foreign investors set up a business in Indonesia as a PT PMA (foreign-owned limited liability company). You need at least two shareholders, one director and one commissioner, KBLI codes open to foreign investment, a registered address, and capital in line with BKPM rules. The company is created by a notarial deed approved by the Ministry of Law and registered on OSS to get its NIB and risk-based licences. Why it matters

Why getting the setup right matters

Most problems we fix for foreign founders started at setup. They are expensive to undo later.

Wrong KBLI codes

The wrong business codes can mean you can't legally sell what you planned, can't get the licence you need, or have to amend the deed and licences later.

Nominee structures

Putting shares in a local friend's name to avoid ownership limits is prohibited and not recognised by Indonesian law. You can lose the business.

Missed obligations

LKPM, tax and BPJS start right after setup. Missed filings lead to penalties and can block KITAS renewals and licences.

Cost

What determines the cost of setting up a PT PMA

Company setup starts from US$1,400. Your final quote depends on these factors, and we fix it in writing after a free review of your plan.

FactorWhy it affects the cost
KBLI codes and risk levelMore business codes, or medium-high and high-risk activities, need more licences and verification.
Capital structureCapital and investment requirements affect bank deposits, notary work and reporting.
ShareholdersCorporate shareholders need legalised and translated documents; more shareholders mean more paperwork.
Registered addressA virtual office is the most economical option. A physical office or factory adds lease and zoning steps.
Sector licencesSome sectors need extra licences or approvals from a ministry or agency.
VisasThe number of Investor or Work KITAS you need for shareholders, directors and staff.
Ongoing servicesOptional monthly accounting, tax, LKPM and BPJS management after setup.

Every quote is fixed and in writing before work starts. Government and notary fees are shown separately, at cost.

FAQ

Company setup questions

Can't find your question? Ask us — we reply fast.

Can a foreigner own 100% of a company in Indonesia?

Yes, if your KBLI codes are fully open to foreign investment. Some activities are capped or reserved for Indonesians. You still need at least two shareholders, for example you and your holding company.

How much capital do I need for a PT PMA?

Under BKPM Regulation 5/2025, the total investment plan must be above IDR 10 billion per KBLI per location, excluding land and buildings, with at least IDR 2.5 billion issued and paid-up capital. Rules change, so we confirm the current requirements for your case.

Do I need to be in Indonesia to set up the company?

No. Documents can be signed by power of attorney, and most steps are handled online. You will need to be present for some bank and KITAS steps.

Can I use a virtual office as my company address?

Many service and trading companies can. Some activities, such as manufacturing or warehousing, need a physical location in the right zone. We check this for your KBLI.

How long does it take?

It depends on your KBLI codes, risk level and how fast documents are signed and legalised. You get a written timeline for your case after the free setup check.

How much does company setup cost?

Our company setup service starts from US$1,400, or US$1,800 with a Jakarta virtual office for the first 12 months. The final price depends on your KBLI codes, shareholders, address, sector licences and visas. We review your plan for free and send a fixed, written quote, with government and notary fees shown separately.

What do I need to do after the company is set up?

File LKPM every quarter, pay and report taxes monthly, register staff for BPJS, keep your books and file annual returns. We can handle all of this for you.
